1. Purpose and Scope
This Agreement governs your participation in the GoSports® Affiliate & Influencer Program (“Program”) through Amazon, TikTok Shop, or any other approved affiliate or influencer platform. By joining, you agree to comply with these Terms, all applicable laws, and the policies of any platform on which you promote GoSports® products. This agreement is between YOU the influencer and P&P Imports LLC, the owner of the GoSports® brand. While this agreement references the “GoSports” brand, this agreement applies to all of P&P Imports LLC’s brands as if they were each referenced herein.
2. Brand Standards & Representation
All content referencing GoSports®, must be authentic, accurate, and family-friendly. Avoid unsafe, offensive, or misleading content. Only make factual statements that have been approved by GoSports®. Discriminatory or divisive content is strictly prohibited. GoSports® reserves the right to restrict or terminate participation to protect brand integrity.
3. FTC Compliance and Disclosure
Creators must comply with the Federal Trade Commission (FTC) endorsement guidelines, including clear and conspicuous disclosure of the material relationship with GoSports®. Examples of acceptable disclosures include “#ad,” “#sponsored,” or “#GoSportsPartner.” Disclosures must appear prominently in captions or video descriptions. GoSports® may request edits to ensure compliance.
4. Platform Compliance
Creators must follow all terms of service and affiliate policies of platforms used, including but not limited to Amazon Associates, TikTok Shop, Instagram, and YouTube community guidelines.
5. Exclusivity During Campaigns
During any paid campaign or collaboration, you agree not to promote or endorse competing sports or recreation brands without GoSports®’ written approval. This exclusivity applies only for the duration of the paid campaign.
6. Compensation
Compensation may include affiliate commissions, flat-rate payments, bonuses, or product trade. Payment details will be confirmed in writing (email or campaign brief). You are responsible for all applicable taxes.
7. Content Rights & Usage License
By creating and publishing content featuring GoSports® products, you grant GoSports® a perpetual, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, distribute, publicly display, and create derivative works from such content. This license applies to all content created under this Agreement and survives termination. If you are hired under a 'work for hire' arrangement, GoSports® shall be the exclusive owner of all intellectual property.
8. Use of Trademarks and Logos
Creators may use GoSports® product names, logos, and brand assets only as provided or approved by GoSports®. You may not alter or create derivative logos, imply employment, or operate accounts suggesting official affiliation (e.g., “OfficialGoSports”). Any misuse must be corrected or removed within 48 hours of written notice.
9. Content Review and Removal
GoSports® may request modification or removal of content that misrepresents the brand, violates laws, or damages its reputation. Creators must comply within 48 hours of notice. Failure to do so may result in immediate termination and forfeiture of pending payments and payment of damages.
10. Legal Compliance & Indemnification
Creators are responsible for ensuring content complies with all laws and third-party rights. You agree to indemnify, defend, and hold harmless GoSports®, its affiliates, officers, and employees against claims or damages arising from your content, conduct, or breach.
11. Confidentiality
You may receive proprietary or confidential information about GoSports®. You agree not to disclose or use such information for any purpose other than participation in this Program.
12. Term & Termination
Either party may terminate this Agreement at any time with written notice. GoSports® may terminate immediately for breach, reputational harm, or legal violation without written notice. Upon termination, you must stop using GoSports® trademarks and materials. Sections 3, 6, 7, 8, 10, and 13 survive termination.
13. Independent Contractor Status
Creators act as independent contractors, not employees, partners, or agents of GoSports®. You are responsible for your equipment, expenses, and taxes. This Agreement does not create an employment or joint venture relationship.
14. Governing Law & Dispute Resolution
This Agreement is governed by the laws of California. Disputes will be resolved through district court or binding arbitration in Orange County, California, at GoSports® election.
15. Entire Agreement
This Agreement represents the entire understanding between the parties and supersedes prior agreements. GoSports® may modify these terms with notice via email or affiliate portal.
By participating in the GoSports® Affiliate & Influencer Program, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
